- “Service” refers to SEO, Google Ads, Facebook Ads, Backlinks, and other digital marketing solutions provided by us.
2. Services Provided
We provide digital marketing services including, but not limited to:
- Search Engine Optimization (SEO)
- Pay-Per-Click (PPC) Management (Google Ads, Facebook Ads)
- Link Building (Backlinks)
- Content Strategy
Service Modification: We reserve the right to modify, suspend, or discontinue any aspect of our services at any time. We will notify active clients of any significant changes that affect their ongoing campaigns.
3. Client Obligations
To ensure the success of the campaigns, the Client agrees to:
- Provide necessary access to website backends, hosting panels, Google Analytics, and ad accounts.
- Provide requested content, images, and approvals in a timely manner.
- Ensure that their website and business practices comply with all applicable laws.
- MAbdus Salam LTD will not be held responsible for delays caused by the Client’s failure to provide necessary information or access.
4. Payments and Billing
- Pricing: All prices are listed in USD/GBP as specified on the invoice or website.
- Payment Methods: We accept payments via Stripe and PayPal.
- Upfront Payment: Services are generally billed in advance. Work will not commence until payment is received.
- Late Payments: Invoices not paid within 7 days of the due date may result in a suspension of services.
- Taxes: You are responsible for any applicable taxes in your jurisdiction.
5. SEO and Ads Disclaimer (Important)
Digital Marketing is influenced by third-party platforms (Google, Facebook, Bing). Therefore:
- No Ranking Guarantee: While we use industry-standard “White Hat” SEO techniques, we do not and cannot guarantee specific search engine rankings (e.g., #1 spot on Google) or specific traffic numbers. Search engine algorithms change frequently, and these changes are outside our control.
- Ad Account Bans: We comply with ad policies. However, we are not responsible if Google or Facebook suspends, bans, or restricts your ad account due to your business model, landing page content, or prior account history.
- Ad Spend: The budget paid to Google or Facebook (Ad Spend) is separate from our Management Fee. You are responsible for paying the ad platforms directly.
6. Intellectual Property
- Our IP: All methodologies, strategies, and tools used by MAbdus Salam LTD remain our intellectual property.
- Client IP: You retain ownership of your website, content, and the final deliverables (e.g., reports, ad creatives) paid for by you.
- License: You grant us a non-exclusive license to use your brand materials solely for the purpose of executing the marketing campaign.
7. Confidentiality
We agree to keep all Client information confidential. We will not share your login credentials, business strategies, or customer data with any third party, except as required to perform the services (e.g., sharing data with Google Analytics).
8. Limitation of Liability
To the maximum extent permitted by law, MAbdus Salam LTD shall not be liable for:
- Any indirect, incidental, or consequential damages (including loss of profit, revenue, or data).
- Any loss of rankings or traffic due to search engine algorithm updates.
- Any damages exceeding the amount you paid to us for the specific service in the last 3 months.
9. Termination
- By Client: You may terminate services by providing 30 days’ written notice via email.
- By Us: We may terminate services immediately if you breach these Terms (e.g., non-payment, abusive behavior, or requesting illegal/unethical SEO practices).
10. Refund Policy
Our Refund Policy is a separate document and forms part of these Terms. Please review our Refund and Returns Policy before making a purchase. Generally, refunds are not provided for work already performed.
11. Governing Law
These Terms shall be governed by and construed in accordance with the laws of England and Wales. Although our operational team is based in Bangladesh, as a UK-registered entity, any legal disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
